IMPORTANT NEWS FOR LLC AND BUSINESS
FILINGS CUSTOMERS
LLC annual reports are no longer necessary in South
Carolina. The South Carolina General Assembly passed H4650 which repeals the
statutes requiring LLC annual reports in South Carolina. This bill also amends
the Certificate of Existence statute in that annual reports are no longer
necessary for a Good Standing certificates. All LLC annual reports sent to the
Secretary of State's office previous to April 30, 2004 will still be processed
since at that time the law still required annual reports. Please review our
website in the near future for updates concerning H4650 and its other

the Business Filings Database
The Secretary of State's Business Filings Database
provides access to basic filing information about any entity filed with
the office. Registered agents' names and addresses, dates of business
filings and types of filings are all available. Our UCC and Notaries
databases are not available online yet. Images are also not available
online. You will still need to contact our office to request a document.

The Office of the Secretary of State is responsible for
business filings including the registration of incorporated businesses, limited
liability companies (LLC's), limited liability partnerships (LLP's), limited
partnerships, non-profit organizations, and professional associations.
The Secretary of State's office can tell you
if a company is in good standing or the name and address of the registered agent
for a company. Please call our Corporations Customer Service at 803-734-2158.
Please note, we DO NOT have
the company's officer's names or addresses. For this information, please contact
the Department of Revenue at 803-896-1164.
Filing Instructions
Articles of Incorporation for a
Domestic Corporation

Use the appropriate form and file in
duplicate.

Have the form signed by an attorney.
This form MUST be signed by a South Carolina attorney.

Check to be sure that the registered
agent's address is in South Carolina.

Attach a CL-1 form.

Enclose the $135 fee.
Articles of Incorporation for a
Non-Profit Corporation

duplicate.

Division if you are planning to solicit funds, or have them solicited on
your behalf.

Limited Liability Partnership

application must be executed by a majority in interest of the partners or by one
(1) or more partners authorized to execute this application.

Attach a self-addressed, stamped envelope
addressed to the principal office of the partnership and directed to the
partner who is responsible for filing any renewal of this application.
